Instructions for Offerors
ARPA-H has established a maximum price of $700,000 for the base period and $350,000 for the option period. These amounts are caps, not target prices. Proposers may propose lower amounts but may not exceed the applicable cap. Proposers shall use the pricing summary in this Appendix to provide the proposed payment schedule, associated milestones, and any proposed resource or cost sharing. Please see instructions for completion below: Use one row for each quarterly milestone. Each milestone should represent a discrete, measurable technical or programmatic accomplishment and should not be based solely on the passage of time. For each milestone, identify the required deliverable or other evidence of completion and state objective acceptance criteria that the Government can use to verify successful completion. The pre-populated amounts assume an even allocation of the fixed price: $87,500 for each of the eight Base Period milestones and $87,500 for each of the four Option Year milestones. If permitted by the solicitation or Agreement, amounts may be reallocated among milestones, but the Base Period total must remain $700,000 and the Option Year total must remain $350,000. The Option Year is not guaranteed. Option milestones become payable only if the Government exercises the option in accordance with the Agreement.

1. PAYMENT AND ACCEPTANCE TERMS

1.1 Other Transaction (OT) Structure. This Agreement is structured on a OT milestone basis. The amounts shown in the Milestone Payment Schedule represent the fixed amount payable for successful completion and Government acceptance of the applicable milestone, subject to the terms and conditions of the Agreement. 1.2 Milestone Completion. A milestone is complete when the Performer has accomplished the work identified for that milestone and submitted the required deliverable(s), evidence, or other documentation specified in the schedule. 1.3 Government Acceptance. The Government will review the submitted milestone deliverable(s) against the stated acceptance criteria. Payment authorization is contingent upon Government acceptance of the milestone in accordance with the Agreement. If a submission does not satisfy the acceptance criteria, the Government may identify deficiencies for correction consistent with the Agreement terms.
